Takeoff Service Terms

HeadRail, getheadrail.com/takeoffs

Version 2026-11-03. Last updated November 3, 2026.

These terms cover HeadRail's commercial window covering takeoff service: single takeoffs, the monthly and annual Takeoff Plans, and any work we quote you separately. The service is provided by HeadRail LLC, 7901 4th St N, Ste 300, St. Petersburg, FL 33702 ("HeadRail", "we", "us") to the business that requests or pays for it ("you"). It is for businesses only. You accept these terms when you tick the box on the takeoff request form, pay a takeoff pay link or invoice, or start a Takeoff Plan. Our Privacy Policy explains how we handle personal data. If you also subscribe to the HeadRail software, the main Terms of Service cover the software; these terms cover the takeoff service.

1. What a takeoff is

A takeoff is our count and list of the window coverings shown in the bid documents you send us (plans, specifications and addenda), for pricing a bid. Every takeoff includes a report, a workbook, a CSV file, a manufacturer quote request and proposal text. We count each set twice, independently, and say on every line where its size came from: the window schedule, a written dimension or the scaled drawing. A size the documents don't show is marked Field verify; we never guess it.

A takeoff is not a field measure. The sizes are opening sizes for pricing, not order sizes. Before you order, you or your installer must field measure and confirm every size, product, mount and control.

2. Pages and fees

Single takeoffs are priced by the pages we work from: each drawing sheet we use (plans, elevations, schedules, details) plus the window covering specification pages, usually a Division 12 section. Spec sections for other trades don't count, even when they come in the same file.

Pages we work fromFee
Under 5 pages$149
5 to 9 pages$199
10 to 24 pages$299
25 to 39 pages$399
40 pages or moreQuoted before we start

Before we start, we email you the page count and the fixed fee. That fee does not change unless you add documents or scope after we confirm it. Rush delivery (faster than 48 hours), sets of 40 pages or more, and addenda beyond the one included are quoted by email before we start them, and you choose whether to go ahead.

3. Takeoff Plans

PlanBilled monthlyPaid annually (20% off)
3 takeoffs a month$449 a month$4,310.40 a year
6 takeoffs a month$799 a month$7,670.40 a year
12 takeoffs a month$1,499 a month$14,390.40 a year
  • What counts. Each plan takeoff is a set under 25 pages. A set of 25 pages or more counts as 2. For a set of 40 pages or more, we tell you before we start how many plan takeoffs it will use, and you decide whether to go ahead.
  • Plan months. Your plan month starts on the day you sign up (your billing date) and repeats every month, including on an annual plan. A takeoff counts in the plan month we receive the request.
  • Roll-over. Unused takeoffs roll over to the next plan month only, then expire. They have no cash value and are not refunded.
  • Extras. Takeoffs beyond your plan in a month are 20% off the single takeoff fees in section 2, paid by the plan-member pay link or an invoice before we start.
  • No setup fee.

4. Payment

We take payment through Stripe, by card or bank payment on Stripe's secure checkout page; we never see your full card or bank details. A single takeoff, an extra takeoff and any quoted work are paid before we start, by the pay link or invoice in our fee email. A monthly plan is charged on sign-up and then on the same date each month. An annual plan is charged for 12 months on sign-up. Invoices are due when issued unless the invoice says otherwise. Fees exclude any taxes that apply, which you pay. Overdue amounts carry simple interest of 1.5% per month, or the highest rate the law allows if lower, and we may pause work until they are paid.

5. Renewal and cancelling

A monthly plan renews every month until you cancel. Cancel any time by email to admin@getheadrail.com; it stops at the end of the month you have paid for, and you can use that month's takeoffs until then. An annual plan renews for another 12 months at the then-current annual price unless you cancel before the renewal date. We email you a reminder 15 to 30 days before it renews, with the price and how to cancel. Cancelling an annual plan stops the renewal; the current year stays paid and runs to its end, and is not refunded part-way. We give at least 30 days' notice of a price change, which applies from your next billing date or renewal.

6. What you send us

Send complete, current bid documents: the plans, the specifications and every addendum issued so far, as files or a link we can open. You confirm you have the right to share them with us for this purpose. Tell us the products or manufacturer you want to quote. The 48-hour turnaround starts when we have complete documents and, where payment is due first, the fee is paid. If something is missing or unreadable, we tell you what we need and the clock starts when it arrives.

7. Delivery, revisions and addenda

We deliver the takeoff by email within 48 hours of complete documents, or by the time we agree for a rush or quoted job. If we see that we can't meet that time, we tell you before it passes; if we can't deliver before your bid date, you can cancel that takeoff and we refund its fee in full. Revisions are free until your bid date: reply to the delivery email with questions or corrections and we answer and update the files. One addendum is included in each takeoff. Later addenda are quoted before we start them.

8. Your responsibility for the bid

You decide what to bid and at what price. Before you submit a bid, check the takeoff against the documents and your own knowledge of the job, including the products, quantities and any Field verify lines. You are responsible for your bids, contracts, orders and installs, and for confirming sizes in the field before ordering.

9. If we make a mistake

If you find an error in a takeoff, tell us. If it is ours (a count or size that doesn't match the documents we were given), we correct it free and promptly, even after your bid date. If we can't correct it in time to be useful to you, we refund that takeoff's fee. That correction or refund is your remedy for errors in a takeoff.

10. Confidentiality and your documents

We use your bid documents, prices and project details only to produce and revise your takeoff. We don't share them with anyone else, including other dealers, and we never use them to train AI models. We delete the bid documents 30 days after your bid date (or 30 days after delivery if you gave no bid date). We keep the takeoff files we delivered so we can resend or revise them, and delete them on your request. Each of us keeps the other's non-public business information confidential, except where the law requires disclosure.

11. Ownership

The takeoff files we deliver are yours to use for your bids, proposals, orders and installs, including sharing them with your customer, the general contractor and your manufacturer. We keep the rights to our own templates, tools and methods. We don't show your takeoffs to anyone else; our public sample is a fictional project.

12. Warranties and limits of liability

We will do the work with reasonable care and skill. Apart from that and any promise made expressly in these terms, the service is provided "as is", and to the extent the law allows, we disclaim all other warranties, express or implied, including merchantability and fitness for a particular purpose. To the extent the law allows, neither of us is liable for indirect, incidental, special or consequential damages, or for lost profits, lost bids, lost revenue or ordering and install costs, even if warned they were possible. Our total liability for any takeoff is limited to the fee you paid for it, and for a Takeoff Plan to the fees you paid in the 3 months before the claim. These limits do not apply to your payment obligations or to liability that the law does not allow to be limited.

13. Governing law and disputes

These terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. Before going to court, each of us will try to resolve a dispute in good faith for 30 days after written notice, except that we do not need to wait to collect fees that are past due. Any lawsuit will be brought exclusively in the state or federal courts for Pinellas County, Florida, and each of us agrees to their jurisdiction. The winning party may recover its reasonable collection costs and attorneys' fees. EACH OF US KNOWINGLY AND VOLUNTARILY WAIVES ANY RIGHT TO A JURY TRIAL IN ANY DISPUTE ARISING FROM THESE TERMS.

14. Changes and other terms

We may update these terms. Changes apply to takeoffs requested after the update; for a Takeoff Plan, we give at least 30 days' notice of changes that materially affect you, and you can cancel before they take effect. These terms, our fee email or invoice for a takeoff, and the Privacy Policy are the whole agreement for the takeoff service; if they conflict, a fee email or invoice wins for that takeoff, then these terms. If a part of these terms can't be enforced, the rest still applies. Neither of us may transfer these terms without the other's consent, except to a successor in a merger or sale of the business. Neither of us is responsible for delays caused by events outside our reasonable control.
